End User Licence Agreement (EULA)

Setlist Organiser

Draft, under review. This agreement applies during the public beta and may change before general release.

Version: public beta, October 2026.

IMPORTANT. PLEASE READ CAREFULLY. This End User Licence Agreement ("EULA") is a legal agreement between you (an individual, or the business or organisation you represent) and Sound Provider Limited, trading as Encorly ("we", "us", "our"). We are a company registered in England and Wales, company number 04075559, with our registered office at 34 Haslin Crescent, Christleton, Chester, CH3 6AN.

This EULA covers Setlist Organiser: the macOS application, its add-on tools, the Companion, the Encorly Anywhere relay service, the AI Session Assistant, and any updates, documentation and online services we provide with it (together, the "Software").

By installing, activating or using the Software, you agree to this EULA. If you do not agree, do not install or use the Software.

1. WHO SELLS WHAT

  • a) Lemon Squeezy (Lemon Squeezy LLC) is the merchant of record for every purchase. It takes your payment and deals with tax, invoices and payment disputes. Our Terms of Sale (https://encorly.com/terms.html) set out prices, cancellation and refunds.
  • b) We license the Software to you. The Software is licensed, not sold.

2. LICENCE GRANT

Subject to this EULA, and once you have paid for a licence, we grant you a limited, non-exclusive, non-transferable licence to:

  • a) activate and use the Software on up to two (2) Macs at a time that you own or control. You may run both at the same time, for example as a main and a backup system for the same show;
  • b) use the Software for your own personal or internal business purposes, including professional work for your clients, in line with its documentation;
  • c) keep copies of the installer for backup and reinstallation.

To move an activation to a different Mac, deactivate it or contact support@encorly.com. Production companies that need more than two activations should contact us for additional licences.

3. THE PERPETUAL LICENCE AND UPDATES

  • a) A Setlist Organiser licence is perpetual. It includes feature updates released during the twelve (12) months after your purchase date.
  • b) After that period, you may keep using the last version you were entitled to, permanently. Nothing is disabled or removed.
  • c) Bug-fix releases for a version you are entitled to remain free.
  • d) We may offer paid renewals that extend your update period. Renewals are optional.
  • e) Updates we provide are part of the Software and are covered by this EULA. We are not obliged to release any particular update or feature.

4. DEMO MODE AND TASTERS

  • a) Without a licence, the Software runs in demo mode. Demo mode is the full application, but each session stops after twenty (20) minutes. When it stops, the Software stops playback, timecode and networking. You may restart it for another session. Demo mode has no expiry date.
  • b) Do not rely on demo mode for a live performance. It will stop during the show.
  • c) We may grant a time-limited taster of paid add-on tools (currently 14 days). When the taster ends, those tools stop working unless you buy them.

5. ADD-ON TOOLS

Paid add-on tools are licensed separately, each for a one-time payment, on the same terms as this EULA. An add-on tool only works with a valid Setlist Organiser licence, and it follows that licence's two-Mac limit. Free built-in tools are part of the Software.

6. ENCORLY ANYWHERE SUBSCRIPTION

  • a) The Companion works on your local network as part of your licence, at no extra cost. Encorly Anywhere is an optional subscription (currently US$9.99 a month or US$110 a year, plus any applicable tax) that lets the Companion connect from outside your local network through our relay service.
  • b) The subscription renews automatically until you cancel it. You can cancel at any time through Settings > Network > Manage subscription, or through Lemon Squeezy.
  • c) If you cancel, or a renewal payment fails, the subscription stops renewing and remote access ends when the period you have paid for ends. You get exactly the period you paid for, and no more. We do not refund part-used periods except as stated in our Terms of Sale or where the law requires it.
  • d) Remote access needs an internet connection and depends on our relay service and third-party networks. We will use reasonable care and skill to keep the relay running, but we do not guarantee that it will be available without interruption. For show-critical control, use the local-network Companion.

7. AI SESSION ASSISTANT AND AI CREDITS

  • a) The AI Session Assistant is included with the Software. Each message uses prepaid AI credits, including messages sent while your DAW is not connected.
  • b) Credits are supplied as soon as your payment clears. When you buy them, you are asked to agree that supply begins immediately and that you lose your 14-day right to cancel. Credits you have used cannot be refunded. Credits have no cash value, are tied to your licence and cannot be transferred. This does not affect your statutory rights if something is faulty.
  • c) The Assistant can read and change your DAW session: markers, tracks, routing, automation, the transport and files on your disk. Its output is generated by an AI model and may be wrong, incomplete or not what you intended. You must check its results before relying on them, and keep backups of your sessions. Actions we treat as destructive ask you to confirm first, unless you have chosen "always allow" for that action.
  • d) We provide the Assistant with reasonable care and skill, but we do not warrant that its output will be accurate, complete or suitable for your purpose. Section 12 applies.
  • e) When you use the Assistant, your messages and details of your session are sent to our servers and to our AI provider, Anthropic, in the United States. The Privacy Policy explains this in full.
  • f) The Assistant shows its own terms before its first use. Those terms form part of this EULA.

8. RESTRICTIONS

You may NOT:

  • a) use the Software on more Macs than your licence allows, or share your licence key or activation credentials with anyone else;
  • b) rent, lease, lend, sell, redistribute or sublicense the Software;
  • c) reverse engineer, decompile or disassemble the Software, or try to derive its source code, except where the law expressly allows it and that right cannot be excluded;
  • d) get around, disable or interfere with the licensing, demo, entitlement or credit-metering systems, or the relay's access controls;
  • e) remove or alter any copyright, trade mark or other proprietary notice;
  • f) use the Software, the relay or the AI Session Assistant in breach of any law, or in a way that overloads or harms our services;
  • g) use the Software to develop a competing product.

9. LICENCE CHECKS AND ONLINE SERVICES

  • a) Activating a licence needs an internet connection. After that, the Software checks in with our licence server about once a week when a connection is available. It keeps working offline for up to 30 days between check-ins. If it cannot check in for longer than that, licensed features may become unavailable (demo mode) until it can.
  • b) If a licence, add-on or subscription is refunded, charged back or revoked, we may deactivate it. The Software applies the change from its next launch and does not interrupt a running session.
  • c) Online services (licensing, the relay, the AI Session Assistant, update checks) are provided on a reasonable-efforts basis. We may change or withdraw an online service on reasonable notice. If we permanently withdraw a service you have prepaid for, we will refund the unused part.

10. INTELLECTUAL PROPERTY AND TRADE MARKS

  • a) We, or our licensors, own all rights in the Software. All rights not expressly granted to you are reserved.
  • b) You keep all rights in your own sessions, setlists, markers and audio.
  • c) Encorly is a registered trade mark of Sound Provider Limited in the United Kingdom (UK00004364914).
  • d) Pro Tools and Avid are trade marks of Avid Technology, Inc. Logic Pro and macOS are trade marks of Apple Inc. REAPER is a trade mark of Cockos Incorporated. Bitwig Studio is a trade mark of Bitwig GmbH. Claude and Anthropic are trade marks of Anthropic, PBC. All other trade marks belong to their owners. We are an independent developer and are not affiliated with, endorsed by or sponsored by any of them. The Software's compatibility with a third-party product depends on that product, and it may stop working if the third party changes its product.

11. DATA AND PRIVACY

Our Privacy Policy (https://encorly.com/privacy, and Help > Privacy Policy in the Software) explains what personal data the Software and our servers handle. In summary: your sessions and audio stay on your Mac, except when you use the AI Session Assistant or Encorly Anywhere. Our licence server receives only one-way hashes of your licence key and machine identifier. Lemon Squeezy receives your licence key and your Mac's network name when you activate. The Software contains no advertising, no third-party analytics and no automatic crash reporting. Assistant usage metrics are sent only if you switch them on.

12. WARRANTIES AND LIABILITY

  • a) If you are a consumer, you have legal rights, for example under the Consumer Rights Act 2015. These include the right to digital content that is of satisfactory quality, fit for purpose and as described. Nothing in this EULA affects those rights.
  • b) Apart from those rights, and to the extent the law allows, the Software is provided "as is". We do not warrant that it will meet your requirements or that it will run without interruption or errors.
  • c) The Software controls live playback, timecode and DAW sessions. You are responsible for rehearsing with it, keeping backups, and having a fallback plan for a live performance.
  • d) Nothing in this EULA limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.
  • e) Subject to (d), we are not liable for any indirect or consequential loss, or for any loss of profits, revenue, business, data or sessions, or for the cost of a cancelled or disrupted performance. If you are a consumer, we are not liable for losses that were not foreseeable, or for losses to your business.
  • f) Subject to (d), our total liability arising out of or in connection with this EULA or the Software is limited to the total amount you have paid for the Software, add-ons, subscriptions and credits in the twelve (12) months before the event that gave rise to the claim.

13. TERMINATION

  • a) This EULA continues until it ends.
  • b) You may end it at any time by uninstalling the Software and deleting all copies.
  • c) We may end it by notice if you materially breach it and, where the breach can be fixed, you do not fix it within 14 days of our notice.
  • d) When it ends, you must stop using the Software and delete all copies. Sections 10, 12, 16 and 17 continue to apply.

14. EXPORT

You must comply with all export and sanctions laws that apply to your use of the Software.

15. THIRD-PARTY SOFTWARE

The Software includes third-party open-source components, each under its own licence. The ATTRIBUTION file distributed with the Software (Help > Open Source Licenses) lists them and their licences. Key components include PySide6/Qt (LGPL), python-rtmidi (MIT), zeroconf (LGPL), websockets (BSD), cryptography (Apache/BSD), ReportLab (BSD), Pillow (HPND) and pyobjc (MIT). Where an open-source licence gives you rights that this EULA would otherwise restrict, the open-source licence prevails for that component.

16. GOVERNING LAW AND JURISDICTION

This EULA, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, is governed by the law of England and Wales.

The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you may also bring proceedings in the courts of the part of the UK, or the country, where you live.

If you are a consumer living in the United Kingdom or the European Union, you keep the protection of the mandatory laws of the country where you live, and nothing in this EULA affects those rights.

17. GENERAL

  • a) This EULA, the Terms of Sale, the Privacy Policy and the AI Session Assistant terms together make up the whole agreement between you and us about the Software.
  • b) We may update this EULA for future versions or changes to our services. We will show the new terms in the Software, and if a change materially affects you we will ask you to accept it. If you do not accept, you may keep using the version you already have under the terms you accepted.
  • c) If any provision of this EULA is found unenforceable, the rest remains in effect.
  • d) You may not transfer your rights under this EULA without our written consent.
  • e) If we do not enforce a right straight away, we can still enforce it later.
  • f) Nobody other than you and us has any right to enforce this EULA under the Contracts (Rights of Third Parties) Act 1999.
  • g) The Companion is a web page that the Software serves to a browser on your phone or tablet. Nothing is installed from an app store, and your browser's own terms apply to the browser.
